Terms of Service

Last Updated: September 10, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Smoov It, Inc., a Delaware corporation (“Smoov,” “we,” “us,” or “our”), governing your access to and use of Smoov’s websites, software, applications, platform, communications tools, and related products and services (collectively, the “Services”).

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Services where these Terms are presented to you, you agree to be bound by these Terms and our Privacy Policy.

If you use the Services on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” includes that organization.

If you have entered into a separate written agreement with Smoov governing the Services, that agreement will control to the extent of any conflict with these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

You may not use the Services if doing so would violate applicable law or if Smoov has previously suspended or terminated your access for violation of these Terms.

2. Accounts and Access

Certain features require an account.

You agree to provide accurate and current account information and to maintain the confidentiality and security of your credentials.

You may not:

  • share credentials with unauthorized persons;
  • permit another person to impersonate you;
  • access another person’s account without authorization; or
  • circumvent authentication, access controls, or account restrictions.

You are responsible for activity conducted through your account except to the extent caused by Smoov’s breach of its obligations.

You must promptly notify Smoov if you reasonably believe your account or credentials have been compromised.

3. The Services

Smoov provides relationship infrastructure designed to help businesses and professionals identify, activate, and learn from warm professional relationships.

The Services may include software, professional relationship workflows, events, communications, and related functionality.

Smoov may modify, improve, add, remove, suspend, or discontinue features from time to time.

Unless expressly agreed in a separate written agreement, Smoov does not guarantee that any particular feature will remain available indefinitely.

4. Limited Right to Use the Services

Subject to your compliance with these Terms, Smoov grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services solely for your lawful internal business or professional purposes.

No rights are granted except those expressly stated in these Terms.

Smoov reserves all rights not expressly granted.

5. Prohibited Uses

You may not, directly or indirectly, and may not permit another person to:

  1. copy, reproduce, modify, translate, adapt, republish, or create derivative works from the Services or Smoov IP except as expressly authorized by Smoov;
  2. reverse engineer, decompile, disassemble, decode, reconstruct, or otherwise attempt to discover or derive any source code, object code, or other underlying technology of the Services;
  3. scrape, crawl, spider, harvest, systematically extract, download, reproduce, or collect information from the Services through automated or manual means except through functionality expressly authorized by Smoov;
  4. access, use, reproduce, export, or analyze the Services, outputs, documentation, or proprietary information for the purpose of developing, training, benchmarking, evaluating, improving, or operating a product or service that competes with Smoov;
  5. use access to the Services to conduct competitive analysis intended to replicate Smoov’s functionality, product design, or technology;
  6. use Smoov proprietary information, outputs, or datasets to train or improve any competing product or service;
  7. rent, lease, lend, sublicense, sell, resell, distribute, publish, transfer, or otherwise provide unauthorized third-party access to the Services;
  8. bypass, disable, interfere with, or circumvent rate limits, authentication, security mechanisms, technical restrictions, usage limits, or access controls;
  9. introduce malware, viruses, harmful code, denial-of-service attacks, or other technology intended to interfere with or compromise the Services;
  10. upload, disclose, transmit, or otherwise provide information you do not have sufficient rights or authorization to provide;
  11. infringe, misappropriate, or violate another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
  12. use the Services to engage in fraud, deception, unlawful discrimination, harassment, impersonation, stalking, or other unlawful conduct;
  13. falsely represent the existence, nature, or strength of a relationship, introduction, endorsement, affiliation, opportunity, or commercial outcome;
  14. manipulate attendance, introduction, attribution, outcome, or referral records for the purpose of obtaining compensation or other benefit;
  15. use the Services to send spam, unlawful marketing communications, or communications to persons you are not legally permitted to contact; or
  16. use the Services for any unlawful purpose or in violation of applicable law.

Smoov may investigate suspected violations and may restrict or terminate access as permitted by these Terms.

6. Smoov Intellectual Property

As between you and Smoov, Smoov and its licensors own all right, title, and interest in and to the Services and all related software, technology, interfaces, designs, branding, trademarks, documentation, improvements, inventions, know-how, and other intellectual property.

Collectively, these constitute “Smoov IP.”

Except for the limited right to use the Services expressly granted under these Terms, no license or ownership interest in Smoov IP is transferred to you.

Nothing in these Terms grants you any right to use Smoov’s trademarks, logos, branding, or other proprietary identifiers without prior written permission.

7. Information You Provide

You retain whatever ownership rights you otherwise have in information or content you lawfully submit, upload, import, or transmit through the Services (“User Data”).

You grant Smoov a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, analyze, display, and otherwise use User Data as reasonably necessary to:

  • provide the Services;
  • carry out workflows you request or authorize;
  • maintain, secure, support, and troubleshoot the Services;
  • comply with applicable law;
  • enforce these Terms; and
  • process information as otherwise described in the Smoov Privacy Policy or an applicable agreement with you.

You represent and warrant that you have sufficient rights, permissions, and authority to provide User Data and authorize Smoov to process it as contemplated by your use of the Services.

8. Information About Other People

The Services may permit you to submit information concerning professional contacts, prospective customers, attendees, connectors, co-hosts, invitees, or other individuals.

You may provide such information only where you have sufficient rights or lawful authority to do so.

You may not knowingly provide information obtained unlawfully or in violation of confidentiality, privacy, contractual, or other obligations.

Providing information about another person to Smoov does not give you ownership of that person’s personal information or authorize you to use it for purposes prohibited by law.

9. Relationship Network and Authorized Collaboration

A core function of Smoov is facilitating professional relationships among customers, hosts, connectors, attendees, and other participants.

When you request or participate in a Smoov workflow, you authorize Smoov to disclose information reasonably necessary to carry out that workflow to relevant authorized participants.

For example, where you request an introduction or event, Smoov may communicate information reasonably necessary to authorized participants helping fulfill that request.

Participation in the Services may also generate information relating to professional relationships and related activity.

Smoov may process such information as described in the Privacy Policy to operate and improve the Services.

Nothing in this section permits an unrelated user to access another customer’s confidential business information merely because both parties use Smoov.

10. Recommendations and Relationship Intelligence

The Services may generate or display recommendations or other insights.

Such information may be generated from incomplete, changing, probabilistic, or third-party information and may not always be accurate.

Smoov does not represent or guarantee:

  • that a person knows or can reach another person;
  • that an identified relationship has a particular strength;
  • that a person will accept an introduction or invitation;
  • that an attendee will attend;
  • that a meeting or interaction will occur;
  • that information supplied by another participant is accurate;
  • that a recommendation is optimal;
  • that any relationship will result in a commercial opportunity; or
  • that use of the Services will produce pipeline, revenue, investment, hiring, partnership, or any other particular outcome.

You are responsible for exercising your own judgment before relying on or acting upon information provided through the Services.

11. Introductions, Events, and Third Parties

Smoov may facilitate introductions, meetings, events, dinners, roundtables, virtual sessions, or other interactions involving third parties.

Unless expressly agreed otherwise in writing, Smoov does not control the conduct, statements, products, services, decisions, or actions of those third parties.

You are responsible for determining whether to interact, transact, or enter into a relationship with another person or organization.

Smoov is not a party to independent transactions or agreements entered into between users, attendees, customers, connectors, or other third parties solely because Smoov facilitated an introduction or interaction.

12. Communications

The Services may allow or facilitate email, SMS, invitations, introductions, and other communications.

You may use communication features only in accordance with applicable law and these Terms.

Where you instruct Smoov to facilitate a communication, you represent that your request is lawful and that you have any permissions legally required from you for that communication.

Smoov may provide opt-out, suppression, unsubscribe, approval, or other controls and may refuse or stop communications where reasonably necessary to comply with law, recipient preferences, security requirements, or Smoov policies.

You may not circumvent an individual’s expressed opt-out or suppression preference.

13. Integrations and Third-Party Services

The Services may integrate with third-party products you choose to connect.

If you authorize an integration, you authorize Smoov to access and process the information reasonably necessary to provide that integration.

Third-party products are governed by their own terms and policies.

Smoov is not responsible for third-party services, changes made by third-party providers, service interruptions caused by third parties, or acts or omissions of third parties outside Smoov’s reasonable control.

14. Fees and Paid Services

Certain Services may require payment.

Fees, billing cadence, performance fees, referral fees, outcome-based fees, subscription terms, or other commercial terms may be described in an Order Form, Business Services Agreement, referral arrangement, promotion, or other written agreement.

Unless expressly stated otherwise in the applicable agreement, fees are non-refundable once earned.

You authorize Smoov and its payment processors to charge the payment method you provide for amounts properly due.

You are responsible for applicable taxes other than taxes based on Smoov’s net income.

If a separate written agreement governs fees or paid Services, that agreement controls in the event of a conflict.

15. Feedback

If you provide Smoov with ideas, feature requests, recommendations, suggestions, comments, or other feedback relating to the Services (“Feedback”), you grant Smoov a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, reproduce, modify, commercialize, and otherwise exploit that Feedback without restriction or compensation to you.

Feedback does not include your confidential User Data merely because you communicated it to Smoov.

16. Suspension

Smoov may suspend or restrict your access to some or all of the Services where Smoov reasonably determines that:

  • you breached these Terms or another agreement with Smoov;
  • payment is overdue;
  • your activity creates a security, legal, fraud, or abuse risk;
  • your activity may harm Smoov, another user, or a third party;
  • suspension is necessary to comply with law or legal process; or
  • a third-party provider necessary to the Services suspends or terminates relevant services.

Where reasonably practicable, Smoov may provide notice and an opportunity to cure before suspension, but is not required to do so where immediate action is reasonably necessary.

17. Termination

You may stop using the Services at any time, subject to obligations under any separate paid agreement.

Smoov may terminate these Terms or your access to the Services for material violation of these Terms, fraud, abuse, security risks, unlawful conduct, nonpayment, or where continued provision of the Services is no longer commercially or legally practicable.

Upon termination, your right to use the Services ends.

Termination does not affect obligations or liabilities accrued before termination.

Sections that by their nature should survive termination — including intellectual-property ownership, prohibited competitive use, payment obligations, confidentiality obligations where applicable, disclaimers, indemnification, limitations of liability, dispute provisions, and enforcement rights — will survive.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SMOOV DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Smoov does not warrant that the Services will be uninterrupted, error-free, completely secure, accurate, or available at all times.

Smoov does not guarantee any introduction, attendee, meeting, relationship, recommendation, response, commercial opportunity, pipeline, revenue, transaction, partnership, or other outcome unless expressly agreed in a separate written agreement.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOV’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO SMOOV FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be excluded or limited.

Where a separate written agreement establishes a different liability framework, that agreement controls.

20. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Smoov It, Inc. and its officers, directors, employees, agents, and affiliates from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • your unlawful or unauthorized use of the Services;
  • your User Data;
  • your violation of these Terms;
  • your violation of applicable law;
  • communications, outreach, or instructions you direct through the Services in violation of law;
  • your violation of another person’s intellectual-property, privacy, confidentiality, contractual, or other rights; or
  • fraud, willful misconduct, or material misrepresentation by you.

Smoov reserves the right to control the defense or settlement of a claim subject to indemnification, and you will reasonably cooperate with that defense.

21. Equitable Relief

You acknowledge that unauthorized disclosure, copying, scraping, reverse engineering, competitive misuse, or misappropriation of Smoov IP or confidential information may cause irreparable harm for which monetary damages may be inadequate.

Smoov may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable remedies in addition to any other rights or remedies available under law.

22. Copyright and Trademark Complaints

If you believe content available through the Services infringes intellectual-property rights you own, contact Smoov at info@smoov.co with sufficient information to identify the material and your claimed rights.

Smoov may remove or restrict access to allegedly infringing content where appropriate.

23. Changes to the Services or Terms

Smoov may update these Terms from time to time.

If a change materially affects your rights or obligations, Smoov will provide notice where required by applicable law.

Updated Terms will become effective on the date specified in the updated Terms or applicable notice.

Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.

24. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Unless a separate written agreement provides otherwise, any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Francisco County, California, and you and Smoov consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents Smoov from seeking injunctive or equitable relief in any jurisdiction where necessary to protect Smoov IP, confidential information, security, or legal rights.

25. General Terms

You may not assign or transfer these Terms without Smoov’s prior written consent.

Smoov may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all assets, or by operation of law.

If any provision is determined to be unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

Smoov’s failure to enforce a provision does not waive its right to enforce that provision later.

These Terms, together with the Privacy Policy and any applicable agreements incorporated by reference, constitute the agreement between you and Smoov concerning the subject matter governed by these Terms and supersede prior communications regarding that subject matter.

Nothing in these Terms creates an agency, employment, partnership, fiduciary, franchise, or joint-venture relationship between you and Smoov.

Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, except payment obligations.
