Connector Program Terms

Last Updated: September 10, 2026

These Connector Program Terms (“Terms”) govern participation in any connector, referral, sourcing, introduction, or related program offered by Smoov It, Inc., a Delaware corporation (“Smoov,” “we,” “us,” or “our”).

A person or entity participating in such a program is referred to as a “Connector” or “you.”

By accepting a Connector opportunity, submitting or facilitating an introduction, inviting a person through a Smoov workflow, or otherwise participating in the Connector Program, you agree to these Terms.

Specific opportunities may include additional written terms governing target criteria, compensation, qualifying outcomes, attribution, or other opportunity-specific requirements (“Opportunity Terms”). If Opportunity Terms conflict with these Terms, the Opportunity Terms control solely with respect to that opportunity.

1. Purpose of the Connector Program

Smoov helps businesses identify and activate warm professional relationships.

Connectors may assist Smoov and its customers by identifying, introducing, inviting, or otherwise helping engage relevant professionals for particular opportunities.

A Connector may be asked to help with a professional introduction, dinner, roundtable, meeting, event, virtual session, customer-development opportunity, or other relationship workflow.

Participation is voluntary.

Nothing in these Terms requires you to make any particular introduction or contact any particular person.

2. Eligibility

You must:

  • be at least 18 years old;
  • have legal capacity to enter into these Terms;
  • provide accurate information to Smoov;
  • be legally permitted to receive any applicable compensation; and
  • comply with applicable law and these Terms.

Smoov may approve, reject, suspend, or discontinue a person’s participation in the Connector Program where reasonably necessary to protect Smoov, its customers, participants, or the integrity of the Program.

Participation in one opportunity does not guarantee eligibility for future opportunities.

3. Connector Opportunities

Smoov may provide a Connector with information concerning:

  • a target professional profile;
  • a customer objective;
  • an event or meeting;
  • a requested introduction;
  • an opportunity to source or invite participants;
  • qualifying criteria;
  • compensation; or
  • other information reasonably necessary to participate.

Information provided for an opportunity may be confidential and may be used only for the purpose for which Smoov provided it.

You may decline any opportunity.

4. Relationships and Introductions

You may introduce, invite, recommend, or provide information concerning another person only where you reasonably believe doing so is appropriate and you have sufficient rights or lawful authority to do so.

You agree not to knowingly:

  • falsely claim to know or have access to a person;
  • exaggerate the strength of a relationship;
  • falsely represent that someone has agreed to participate;
  • impersonate another person;
  • submit fabricated identities or contacts;
  • obtain personal information unlawfully;
  • scrape or purchase contact information in violation of applicable law or contractual restrictions;
  • disclose another person’s confidential information without authorization; or
  • make materially false statements concerning a person’s interests, intent, authority, position, or relationship.

Smoov may rely on information you provide in operating the Services and determining recommendations or attribution.

5. Communications

Unless Smoov expressly authorizes otherwise, you remain responsible for communications you personally send to your own professional contacts.

You may not use the Connector Program to send unlawful spam, harassment, deceptive communications, or other messages prohibited by applicable law.

Where Smoov sends an email, SMS message, invitation, or other communication through its own systems, Smoov may apply consent, suppression, unsubscribe, approval, or other communications requirements.

You may not circumvent a recipient’s opt-out, unsubscribe, refusal, or other expressed communication preference.

You may not represent that you are an employee or authorized representative of Smoov or a Smoov customer unless expressly authorized in writing.

6. Qualifying Outcomes

Some Connector opportunities may offer compensation for a defined result (“Qualifying Outcome”).

A Qualifying Outcome may include, depending on the applicable Opportunity Terms:

  • an accepted introduction;
  • a confirmed attendee;
  • actual attendance;
  • a completed meeting;
  • a qualified opportunity;
  • a customer conversion;
  • a commercial transaction; or
  • another objectively defined result.

The applicable Opportunity Terms will determine what must occur before compensation is earned.

An introduction, referral, invitation, or submission does not by itself entitle you to compensation unless the applicable Opportunity Terms say that it does.

7. Compensation

Before you undertake an activity for which Smoov intends to provide compensation, Smoov will communicate the applicable compensation or method for determining it.

Compensation may take the form of:

  • a fixed referral fee;
  • attendance-based compensation;
  • outcome-based compensation;
  • revenue participation;
  • another agreed incentive; or
  • no monetary compensation, where clearly communicated.

No compensation is owed beyond what Smoov expressly agrees to for the applicable opportunity.

Unless otherwise stated in the Opportunity Terms, compensation becomes payable only after Smoov reasonably verifies the applicable Qualifying Outcome.

8. Attribution

A Connector is entitled to compensation only where the applicable Qualifying Outcome is reasonably attributable to the Connector under the Opportunity Terms.

Smoov may consider reasonably reliable evidence including:

  • platform records;
  • introduction records;
  • referral or invitation links;
  • written messages;
  • attendance records;
  • participant confirmation;
  • customer confirmation;
  • timestamps;
  • prior relationship history; and
  • other relevant evidence.

A referral generally will not qualify where, before the Connector’s involvement:

  • Smoov or the applicable customer had already independently sourced the person for the same opportunity;
  • the person had already accepted or materially entered the applicable workflow;
  • another Connector had already made the qualifying introduction; or
  • the Opportunity Terms expressly exclude the person or relationship.

The existence of a prior relationship between the customer and referred person does not automatically defeat attribution if the applicable Opportunity Terms provide otherwise or the Connector materially caused the Qualifying Outcome.

9. Duplicate Attribution

Smoov is not required to pay multiple Connectors for the same Qualifying Outcome unless Smoov expressly agrees otherwise.

If multiple people claim attribution, Smoov may determine attribution based on which Connector materially caused or first completed the qualifying activity, considering the applicable Opportunity Terms and available evidence.

Where multiple Connectors materially contributed and the applicable opportunity permits shared attribution, Smoov may allocate compensation among them in a manner communicated to the affected Connectors.

Smoov will not knowingly use duplicate-attribution rules merely to avoid paying compensation that has been legitimately earned.

10. Accurate Reporting

You agree to provide materially complete and accurate information concerning introductions, attendance, relationships, participation, and Qualifying Outcomes.

You will not knowingly:

  • fabricate an introduction;
  • falsely report attendance;
  • conceal information material to attribution;
  • misstate the strength or origin of a relationship;
  • create duplicate or sham submissions;
  • coordinate fake activity;
  • manipulate a Qualifying Outcome; or
  • otherwise misrepresent facts for the purpose of obtaining compensation.

Smoov may request information reasonably necessary to verify a claimed Qualifying Outcome.

11. Fraud, Abuse, and Manipulation

No compensation is payable for activity that Smoov reasonably determines resulted from:

  • fraud;
  • falsified information;
  • fake identities;
  • sham attendance;
  • self-referrals prohibited by the applicable Opportunity Terms;
  • collusion designed primarily to trigger compensation;
  • duplicate submissions;
  • unlawful conduct;
  • material misrepresentation;
  • manipulation of attribution records; or
  • intentional circumvention of the applicable opportunity requirements.

Where Smoov has already paid compensation that was obtained through fraud or intentional material misrepresentation, Smoov may require repayment to the extent permitted by law.

Smoov will not claw back legitimately earned compensation merely because a later commercial relationship fails or ends unless the applicable Opportunity Terms expressly condition the payment on that subsequent event.

12. No Circumvention

You may not knowingly structure, redirect, conceal, or move an introduction or opportunity outside Smoov for the primary purpose of avoiding compensation, attribution, or other obligations owed to Smoov under an applicable opportunity.

Likewise, Smoov will not intentionally bypass a Connector for the primary purpose of avoiding compensation already earned under agreed Opportunity Terms.

Nothing in this Section prevents you from maintaining or developing your own independent professional relationships outside Smoov.

13. Payment Timing

Unless the applicable Opportunity Terms provide otherwise, Smoov will use commercially reasonable efforts to issue earned compensation within thirty (30) days after verification of the applicable Qualifying Outcome and receipt of any information or tax documentation reasonably necessary to process payment.

Payment may be made through a payment method designated by Smoov.

Smoov may withhold payment while a good-faith attribution, fraud, or eligibility investigation is pending.

Once an investigation is resolved, Smoov will pay any undisputed amount determined to have been earned.

14. Taxes

You are solely responsible for taxes, filings, registrations, or other obligations arising from compensation you receive through the Connector Program.

Smoov may require you to provide tax documentation, including a Form W-9 or other legally required documentation, before payment.

Smoov may report payments to governmental authorities where required by law.

15. Independent Contractor; No Employment Relationship

Participation in the Connector Program does not create an employment relationship between you and Smoov.

You are not entitled to wages, employee benefits, unemployment benefits, workers’ compensation benefits, paid leave, or other benefits provided to Smoov employees solely because you participate in the Program.

You control whether to accept an opportunity and, except for the applicable target criteria, confidentiality obligations, legal requirements, and Qualifying Outcome rules, how you use your independent professional relationships.

Nothing in these Terms creates a partnership, joint venture, franchise, fiduciary relationship, or agency relationship.

You have no authority to bind Smoov or a Smoov customer.

16. No Authority to Make Promises

Unless expressly authorized in writing, you may not:

  • enter into an agreement on behalf of Smoov;
  • quote binding Smoov pricing;
  • promise a particular commercial result;
  • make warranties on behalf of Smoov;
  • represent yourself as an employee of Smoov;
  • promise admission or attendance at an event;
  • guarantee compensation to another person;
  • represent that a customer endorses you or Smoov; or
  • otherwise create an obligation on behalf of Smoov or a Smoov customer.

Statements you make independently are your responsibility.

17. Confidentiality

“Confidential Information” means non-public information Smoov or a Smoov customer provides in connection with a Connector opportunity that is identified as confidential or reasonably should be understood to be confidential under the circumstances.

Confidential Information may include:

  • customer identity where non-public;
  • target criteria;
  • guest or prospect information;
  • customer strategy;
  • commercial objectives;
  • internal relationship context;
  • pricing;
  • deal information;
  • non-public event details;
  • product information; and
  • other proprietary information.

You may use Confidential Information only as reasonably necessary to participate in the applicable opportunity.

You may not disclose it to another person except where reasonably necessary to make an authorized introduction or otherwise participate in the opportunity and where that disclosure is permitted by Smoov.

These obligations do not apply to information you can demonstrate:

  • was already lawfully known to you without restriction;
  • becomes public through no violation by you;
  • is lawfully received from another source without confidentiality obligation; or
  • is independently developed without use of the Confidential Information.

Confidentiality obligations survive termination of your participation.

Trade-secret obligations survive for so long as the applicable information remains protected as a trade secret.

18. Privacy and Personal Information

Your participation is subject to the Smoov Privacy Policy.

Smoov may process professional profile information, relationship activity, introductions, participation information, responses, outcomes, and other information associated with your participation as described in the Privacy Policy and applicable law.

Information you provide directly to Smoov through your own participation in the network may be used by Smoov to operate and improve its relationship network, including to determine whether you or your relationships may be relevant to future Smoov opportunities, subject to applicable law and your applicable privacy rights.

Information a Smoov customer provides confidentially does not become unrestricted information available to you merely because Smoov provides limited information necessary for a particular workflow.

You may use information received through an opportunity only for the purpose for which Smoov made it available unless otherwise authorized.

19. Relationship and Network Intelligence

Participation in the Program may generate information concerning professional relationships, introductions, participation, and related outcomes.

Subject to applicable law and Smoov’s Privacy Policy, Smoov may use such information to operate, analyze, and improve the Services.

Participation in an opportunity does not give you ownership of:

  • another person;
  • another person’s professional relationships;
  • a customer’s confidential information; or
  • Smoov’s technology, insights, or other proprietary materials.

You retain any rights you independently possess in information you lawfully created or provided.

20. Smoov Intellectual Property

Smoov owns all right, title, and interest in its software, platform, technology, interfaces, branding, documentation, and other proprietary materials (“Smoov IP”).

Participation in the Connector Program does not transfer ownership of Smoov IP to you.

You may not:

  • copy or reproduce Smoov IP;
  • reverse engineer Smoov technology;
  • scrape or systematically extract Smoov data;
  • use confidential Smoov information to develop a competing service;
  • use Smoov proprietary output to train or improve a competing product or service; or
  • remove proprietary notices.

Smoov reserves all rights not expressly granted.

21. Customer and Third-Party Relationships

Smoov may connect you with customers, attendees, prospects, connectors, hosts, or other third parties.

Smoov does not guarantee the conduct, reliability, suitability, intentions, products, or services of any third party.

Unless expressly stated otherwise, Smoov is not a party to an independent commercial arrangement you enter into with another participant.

You are responsible for evaluating whether to enter into independent relationships or transactions.

22. Events

Where an opportunity involves an in-person event, you agree to comply with applicable venue rules and law and conduct yourself professionally.

You are responsible for your own conduct, transportation, personal property, alcohol consumption, and independent decisions while participating.

Venues, caterers, alcohol providers, transportation providers, and other vendors are generally independent third parties and are not Smoov agents unless expressly stated otherwise.

Nothing in these Terms limits liability that applicable law does not permit to be limited.

23. Non-Exclusivity

Your participation is non-exclusive.

You may participate in other networks, maintain independent professional relationships, make introductions outside Smoov, and engage in other business activities, subject to your confidentiality and other obligations under these Terms.

Smoov may engage other Connectors and may provide similar opportunities to multiple participants.

No opportunity guarantees exclusivity unless expressly stated in writing.

24. No Guaranteed Opportunities or Compensation

Smoov does not guarantee:

  • any minimum number of Connector opportunities;
  • any minimum amount of compensation;
  • continued access to the Program;
  • any particular customer;
  • any particular target profile;
  • that an introduction will be accepted;
  • that a referred person will attend;
  • that a Qualifying Outcome will occur; or
  • that a commercial relationship will result.

You incur expenses in connection with participation at your own discretion unless Smoov expressly agrees in writing to reimburse them.

25. Suspension and Termination

You may stop participating at any time.

Smoov may suspend or terminate future participation where it reasonably determines that you:

  • materially violated these Terms;
  • engaged in fraud or manipulation;
  • repeatedly supplied materially inaccurate information;
  • violated confidentiality;
  • misused personal information;
  • engaged in unlawful or abusive communications;
  • materially harmed Smoov or a customer;
  • falsely represented authority to act for Smoov; or
  • otherwise created a material legal, reputational, security, or integrity risk.

Termination of future participation does not eliminate compensation already earned under the Opportunity Terms applicable when the qualifying activity occurred.

Pending compensation may remain subject to legitimate verification, attribution, fraud, or eligibility review.

26. Program Changes

Smoov may modify, suspend, or discontinue the Connector Program or future opportunities at any time.

Changes will apply prospectively unless otherwise permitted by law.

Smoov will not retroactively change the compensation criteria for qualifying activity already completed under accepted Opportunity Terms solely to avoid payment of compensation already earned.

27. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONNECTOR PROGRAM AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SMOOV DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

Smoov does not guarantee the accuracy of information provided by customers or other participants, the availability of any person, or any professional or commercial outcome.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATING TO THE CONNECTOR PROGRAM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOOV’S AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100); OR

(B) THE TOTAL COMPENSATION PAID OR PAYABLE TO YOU BY SMOOV DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This limitation does not restrict Smoov’s obligation to pay compensation finally determined to have been properly earned or liability that applicable law prohibits from being limited.

29. Indemnification

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Smoov It, Inc. and its officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • information you unlawfully obtained or disclosed;
  • communications you independently send in violation of applicable law;
  • your material misrepresentation;
  • your violation of another person’s privacy, confidentiality, publicity, contractual, or intellectual-property rights;
  • your unauthorized promises or representations on behalf of Smoov or a customer;
  • fraud or willful misconduct by you; or
  • your material breach of these Terms.

This indemnification does not apply to the extent a claim results from Smoov’s own conduct for which Smoov is legally responsible.

30. Governing Law and Venue

These Terms are governed by the laws of the State of California without regard to conflict-of-laws principles.

The parties will attempt in good faith to resolve disputes informally before commencing litigation where reasonably practicable.

Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to personal jurisdiction and venue there.

Nothing prevents either party from seeking appropriate equitable relief where reasonably necessary to protect confidential information, intellectual property, security, or other legal rights.

31. General

You may not assign your rights to payment for an opportunity or otherwise transfer these Terms without Smoov’s prior written consent, except where applicable law provides otherwise.

Smoov may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, corporate reorganization, or sale of substantially all relevant assets.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue in effect.

Failure to enforce a provision does not waive future enforcement.

These Terms and applicable Opportunity Terms constitute the agreement concerning your participation in the Connector Program and supersede prior communications concerning that participation, except for a separately signed agreement expressly intended to supersede these Terms.

Electronic acceptance has the same effect as a physical signature to the extent permitted by law.
