Participation Terms
Last Updated: September 10, 2026
These Event Participation Terms (“Terms”) govern attendance at and participation in dinners, roundtables, mixers, meetings, gatherings, activations, conferences, virtual sessions, and other events organized, facilitated, hosted, co-hosted, or administered by Smoov It, Inc., a Delaware corporation (“Smoov,” “we,” “us,” or “our”) (each, an “Event”).
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT PROVISIONS CONCERNING ASSUMPTION OF RISK, RELEASE OF CERTAIN CLAIMS, LIMITATIONS OF LIABILITY, EVENT PHOTOGRAPHY AND RECORDING, AND DISPUTE RESOLUTION.
By registering for, accepting an invitation to, purchasing or receiving admission to, confirming attendance at, checking in to, or attending an Event after these Terms are presented to you, you agree to these Terms.
Where Smoov provides a separate acknowledgment concerning the release of liability or Event photography and recording, your affirmative acceptance of that acknowledgment is incorporated into these Terms.
If you participate on behalf of an organization, you represent that you have authority to act on behalf of that organization with respect to your participation.
An Event may also have specific written terms concerning admission, pricing, cancellation, confidentiality, media, eligibility, participation requirements, or other Event-specific matters (“Event Terms”). If Event Terms conflict with these Terms, the Event Terms control solely with respect to that Event and subject matter.
If another written agreement between you or your organization and Smoov governs the Event, that agreement controls to the extent of a conflict.
1. Eligibility
Unless Smoov expressly provides otherwise, you must be at least 18 years old to independently register for or attend an Event.
Alcohol may be possessed, purchased, served, or consumed only by persons legally permitted to do so.
Smoov or an applicable venue may require valid government-issued identification where reasonably necessary to verify age, identity, registration, eligibility, or admission.
You may not provide materially false registration, identity, employment, or professional information.
2. Invitations and Admission
An invitation, RSVP, registration, ticket, approval, or confirmation does not create an unconditional right of admission.
Admission may remain subject to:
- capacity;
- identity verification;
- eligibility criteria;
- invitation or approval status;
- Event requirements;
- venue restrictions;
- applicable law;
- safety considerations; and
- compliance with these Terms.
Unless expressly permitted by Smoov, an invitation or admission is personal to the registered attendee and may not be sold, transferred, assigned, reproduced, or used by another person.
Smoov may operate approval-based or invitation-only Events.
Smoov may decline, revoke, or condition admission where reasonably necessary to preserve the purpose, safety, privacy, security, professional environment, capacity, or integrity of an Event.
Smoov will not revoke paid admission solely for the purpose of avoiding delivery of an Event benefit already purchased.
3. Event Changes, Postponement, and Cancellation
Events depend on venues, hosts, speakers, attendees, vendors, weather, availability, transportation, and circumstances that may change.
Smoov may reasonably change an Event’s:
- venue;
- date or time;
- format;
- capacity;
- hosts or co-hosts;
- speakers;
- program;
- food or beverage offering;
- participant composition; or
- other Event details.
Smoov may postpone or cancel an Event where reasonably necessary because of venue issues, safety concerns, illness, weather, transportation disruption, government action, insufficient availability, force majeure, or other circumstances reasonably affecting Smoov’s ability to conduct the Event.
For complimentary Events, no compensation is owed because an Event is changed, postponed, or cancelled.
For admission purchased directly from Smoov, applicable Event Terms or checkout terms will govern refunds.
Unless Event Terms state otherwise, if Smoov cancels a paid Event and does not provide a substantially comparable replacement or rescheduled Event, Smoov will refund the admission price paid directly to Smoov.
Except where required by applicable law or expressly agreed in writing, Smoov is not responsible for travel, lodging, transportation, lost time, lost business opportunities, or other incidental expenses resulting from an Event change, postponement, or cancellation.
4. Event Purpose and No Guaranteed Outcome
Smoov Events may facilitate professional relationships, introductions, conversations, customer development, business development, community, learning, partnerships, or other interactions.
Smoov does not guarantee the attendance of any particular:
- person;
- executive;
- company;
- prospect;
- customer;
- investor;
- founder;
- connector;
- speaker; or
- other participant.
Information concerning anticipated attendees, organizations, or participant composition may change before or during an Event.
Smoov does not guarantee that attending an Event will result in:
- an introduction;
- a conversation;
- a follow-up;
- a meeting;
- a sale;
- a customer relationship;
- an investment;
- employment;
- partnership;
- pipeline;
- revenue;
- a commercial transaction; or
- any other professional, personal, or economic outcome.
You remain solely responsible for decisions you make concerning people, information, opportunities, statements, representations, offers, products, services, or transactions encountered through an Event.
5. Participant Conduct
You agree to behave lawfully and professionally.
You may not engage in:
- harassment;
- threats;
- violence;
- stalking;
- unlawful discrimination;
- intimidation;
- intentionally disruptive behavior;
- unwanted physical contact;
- fraudulent conduct;
- impersonation;
- theft;
- intentional property damage; or
- other conduct that reasonably presents a material safety, security, or integrity concern.
You may not engage in persistently unwanted or aggressive solicitation after another participant has indicated that the communication or solicitation is unwelcome.
You may not interfere with Event operations, venue personnel, security personnel, Smoov personnel, vendors, hosts, or other attendees.
Smoov may warn, restrict, remove, or deny future admission to a participant who materially violates these requirements.
Where immediate action is reasonably necessary for safety, security, or Event integrity, Smoov may remove a participant without prior warning.
6. Professional Representations
You are responsible for statements and representations you make to other participants.
You may not knowingly materially misrepresent your:
- identity;
- employer;
- company;
- professional title;
- authority;
- professional relationships;
- investment status;
- customer status;
- business interests;
- intentions; or
- reason for participating.
Attendance at a Smoov Event does not constitute an endorsement by Smoov of you, your organization, your products, your services, or your statements.
You may not represent yourself as an employee, agent, partner, or authorized representative of Smoov unless Smoov expressly authorizes you in writing.
7. Privacy and Participant Information
Smoov may collect and process information relating to:
- Event registration;
- invitations;
- attendance;
- professional profiles;
- preferences;
- introductions;
- communications;
- participation;
- feedback; and
- outcomes,
as described in the Smoov Privacy Policy and applicable law.
Where reasonably necessary to organize or operate an Event, Smoov may make limited information available to relevant hosts, co-hosts, connectors, venues, vendors, or participants as described in the Privacy Policy.
Participation in an Event may generate information relating to attendance, introductions, and related professional activity.
Subject to applicable law and the Privacy Policy, Smoov may use such information to operate, analyze, and improve the Services.
Attending an Event does not give you unrestricted rights to another participant’s personal information.
8. Attendee Lists and Relationship Information
Unless Smoov expressly permits otherwise, you may not:
- scrape;
- systematically copy;
- harvest;
- bulk-export;
- sell;
- license;
- republish; or
- create an unauthorized database from
an Event attendee list, Smoov participant information, relationship information, or other information made available through Smoov.
You may use professional information another participant voluntarily shares with you for legitimate professional interaction, subject to applicable law, confidentiality obligations, and that participant’s preferences.
You may not use access to an Event to collect information for the purpose of creating, training, benchmarking, evaluating, improving, or operating a competing product or service.
Nothing in this Section prevents ordinary independent professional networking or maintenance of relationships you lawfully develop.
9. Confidential and Private Information
An Event may be designated:
- confidential;
- private;
- invitation-only;
- off-the-record; or
- subject to specific disclosure restrictions.
Where Smoov communicates such restrictions, you agree to comply with them.
Even where an Event is not expressly designated confidential, you may not knowingly record, publish, exploit, or disclose another participant’s trade secrets, confidential business information, private communications, or other non-public information where the circumstances reasonably indicate that the information was shared in confidence.
You are responsible for deciding what information you disclose to Event participants.
Smoov cannot guarantee that another participant will preserve information you voluntarily disclose unless that person is independently subject to an applicable confidentiality obligation.
10. Recording by Participants
Unless Smoov and affected participants expressly permit otherwise, you may not secretly record private conversations, presentations designated confidential, or communications where recording would violate applicable law or a reasonable expectation communicated by the participants.
You may not livestream, commercially reproduce, systematically record, or redistribute an Event without Smoov’s prior written permission.
Nothing in these Terms restricts recording where applicable law provides a non-waivable right to make such a recording.
11. Photography, Video, and Event Media
PLEASE READ THIS SECTION CAREFULLY.
Events may be photographed, filmed, livestreamed, or otherwise recorded by Smoov or persons acting on Smoov’s behalf.
Where notice of recording is provided, and to the extent permitted by applicable law, by attending the Event you grant Smoov permission to photograph, film, record, reproduce, display, distribute, and use your appearance and voice as captured incidentally or intentionally in connection with the Event.
Smoov may use resulting photographs, video, audio, and recordings for legitimate business purposes, including:
- Event documentation;
- Smoov websites;
- social media;
- presentations;
- promotional materials;
- sales materials;
- marketing;
- investor or fundraising materials; and
- documentation of Smoov activities.
This permission is worldwide and royalty-free, and you acknowledge that no additional compensation is required for such authorized use.
To the extent legally permissible, you waive any right to inspect or approve the final form of Event media before Smoov uses it as authorized by this Section.
Smoov will not knowingly use your name, likeness, or recorded appearance to falsely state that you personally endorse Smoov, a Smoov customer, or another product or service.
Where Smoov offers an Event-specific photography or recording opt-out mechanism, you may use that process.
If you have a specific concern regarding intentional photography or recording, contact info@smoov.co before the Event.
Smoov may obtain additional or separate consent where applicable law or the nature of a particular use requires it.
12. Third-Party Venues and Vendors
Events may take place at restaurants, hotels, clubs, offices, residences, event spaces, or other venues and may involve independent:
- restaurants;
- caterers;
- bartenders;
- alcohol providers;
- transportation providers;
- photographers;
- entertainers;
- security providers;
- speakers;
- hosts;
- vendors; or
- other third parties.
Unless Smoov expressly states otherwise in writing, such parties are independent third parties and are not employees or agents of Smoov.
Their goods, services, facilities, conduct, policies, and performance may be governed by their own terms, rules, and legal obligations.
You agree to comply with lawful and reasonable venue requirements.
Smoov is not responsible for independent third-party acts or omissions outside Smoov’s reasonable control.
13. Food, Allergies, and Dietary Requirements
Food or beverages may be prepared and served by independent venues, caterers, restaurants, or other providers.
If you have an allergy, dietary restriction, or food-related concern, you are responsible for notifying Smoov or the applicable provider sufficiently in advance and making reasonable inquiries before consuming food or beverages.
Smoov may attempt to communicate disclosed dietary requirements to applicable providers but does not warrant that any kitchen, preparation area, meal, beverage, or venue will be:
- allergen-free;
- free from cross-contact;
- compliant with every dietary preference; or
- suitable for a particular health requirement.
You remain responsible for determining what you consume.
Nothing in this Section limits responsibility that applicable law does not permit to be limited.
14. Alcohol
Alcohol may be available at certain Events.
You may consume alcohol only if legally permitted to do so.
Smoov, the venue, or an alcohol-service provider may refuse or discontinue alcohol service where reasonably appropriate for safety or legal compliance.
You are responsible for:
- deciding whether to consume alcohol;
- determining how much alcohol to consume;
- your conduct while consuming alcohol; and
- arranging safe transportation.
You may not provide alcohol obtained at an Event to a person who is not legally permitted to possess or consume it.
Smoov does not require alcohol consumption as a condition of participation.
15. Transportation
Unless expressly stated otherwise, Smoov does not provide transportation to or from an Event.
You are responsible for arranging safe transportation and complying with applicable law.
Do not drive while impaired.
Where transportation is provided by an independent rideshare, taxi, transit service, driver, shuttle, or other third party, that provider is independently responsible for its services subject to applicable law.
16. Personal Property and Property Damage
You are responsible for your personal belongings.
Smoov does not assume custody of personal property merely because the property is brought to, stored at, or left at an Event.
To the maximum extent permitted by applicable law, Smoov is not responsible for loss, theft, or damage to personal property caused by another attendee, venue, vendor, or third party outside Smoov’s reasonable control.
You are responsible for property damage you intentionally cause or that results from your negligent, reckless, or unlawful conduct to the extent provided by applicable law.
17. Health and Emergencies
You are responsible for determining whether you are reasonably able to participate safely in an Event.
Smoov is not a medical provider and does not provide medical advice.
In an emergency, Smoov personnel, venue personnel, or another participant may contact emergency services or take other reasonable action believed necessary to protect health or safety.
Nothing in these Terms obligates Smoov personnel to provide medical treatment beyond obligations imposed by applicable law.
18. Assumption of Risk and Release of Liability
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You understand that voluntary participation in an in-person Event involves ordinary and reasonably foreseeable risks inherent in attending professional and social gatherings.
Such risks may include risks associated with:
- traveling to or from an Event;
- entering and moving through a venue;
- stairs, floors, furniture, crowds, or other physical conditions;
- interaction with other participants;
- food or beverage consumption;
- alcohol;
- third-party facilities and services; and
- other ordinary circumstances inherent in voluntary Event participation.
You knowingly and voluntarily assume such ordinary and reasonably foreseeable risks to the maximum extent permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE, WAIVE, AND DISCHARGE SMOOV IT, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM CLAIMS FOR PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSS ARISING SOLELY FROM ORDINARY RISKS INHERENT IN YOUR VOLUNTARY PARTICIPATION IN AN EVENT OR FROM ORDINARY NEGLIGENCE TO THE EXTENT SUCH CLAIMS MAY LAWFULLY BE RELEASED IN ADVANCE.
YOU UNDERSTAND THAT THIS RELEASE MEANS YOU MAY BE GIVING UP CERTAIN RIGHTS TO BRING A CLAIM AGAINST SMOOV FOR ORDINARY NEGLIGENCE IN CONNECTION WITH THE EVENT.
THIS RELEASE DOES NOT APPLY TO GROSS NEGLIGENCE, RECKLESS OR WILLFUL MISCONDUCT, FRAUD, INTENTIONAL INJURY, OR ANY OTHER LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT TO BE RELEASED, WAIVED, EXCLUDED, OR LIMITED.
Nothing in these Terms is intended to waive rights that applicable law makes non-waivable.
19. Removal From an Event
Smoov may remove a participant or deny continued participation where Smoov reasonably believes that the participant:
- materially violated these Terms;
- presents a credible safety or security concern;
- materially disrupts the Event;
- is behaving dangerously;
- is unlawfully intoxicated;
- engaged in harassment;
- engaged in violence or threats;
- engaged in fraud or theft;
- entered without proper authorization; or
- materially interferes with other participants or Event operations.
Where removal results from the participant’s material violation of these Terms, Smoov is not required to refund admission except where applicable law requires otherwise.
Removal from one Event may also result in exclusion from future Smoov Events where reasonably appropriate.
20. Independent Third-Party Transactions
An Event may result in attendees discussing or entering into:
- purchases;
- sales;
- investments;
- employment relationships;
- partnerships;
- introductions;
- financing arrangements;
- contracts; or
- other transactions.
Smoov is not a party to an independent transaction merely because the parties met through Smoov or at an Event.
Unless expressly agreed otherwise in writing, Smoov does not act as your:
- broker;
- investment adviser;
- fiduciary;
- attorney;
- accountant;
- employment agent;
- representative; or
- financial adviser.
You are responsible for independently evaluating people, representations, opportunities, and transactions.
21. Smoov Intellectual Property and Competitive Use
Smoov retains all right, title, and interest in its trademarks, branding, software, technology, proprietary information, Event materials, and other intellectual property.
Attendance at an Event does not grant you a right to reproduce or commercially exploit Smoov materials or branding except as expressly authorized.
You may not use access to an Event, its participants, Smoov materials, or non-public Smoov information to:
- reverse engineer Smoov technology or workflows;
- systematically extract Smoov data;
- copy Smoov proprietary materials;
- obtain Smoov trade secrets;
- train or improve a competing product or service;
- conduct competitive analysis intended to replicate Smoov’s proprietary functionality; or
- otherwise misappropriate Smoov IP.
Nothing in this Section prevents lawful independent development that does not use or misappropriate Smoov confidential information or intellectual property.
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVENTS AND EVENT-RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Smoov disclaims all express, implied, and statutory warranties to the extent legally permissible, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- accuracy;
- reliability;
- title; and
- non-infringement.
Smoov does not guarantee the identity, conduct, statements, qualifications, intentions, availability, or reliability of another attendee or third party.
Smoov does not guarantee a professional, commercial, social, or economic result from participation.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOV IT, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR OTHER CONSEQUENTIAL ECONOMIC LOSS ARISING FROM OR RELATING TO AN EVENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOV’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PARTICULAR EVENT WILL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED U.S. DOLLARS ($100); OR
(B) THE AMOUNT YOU PERSONALLY PAID DIRECTLY TO SMOOV FOR ADMISSION TO THAT EVENT.
The foregoing exclusions and limitations do not apply to liability that applicable law does not permit to be excluded or limited.
Where another written agreement between Smoov and you or your organization establishes a different liability framework for the Event, that agreement controls.
Multiple claims arising from the same Event do not increase the aggregate liability cap.
24. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Smoov It, Inc. and its officers, directors, employees, and agents from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable attorneys’ fees to the extent arising from:
- your unlawful or intentionally wrongful conduct at or in connection with an Event;
- bodily injury or property damage caused by your negligent, reckless, or intentional conduct;
- harassment, threats, fraud, theft, or intentional misconduct by you;
- your unlawful recording, publication, disclosure, or use of another person’s information;
- your violation of another person’s privacy, confidentiality, publicity, contractual, or intellectual-property rights;
- materially false representations made by you; or
- your material breach of these Terms.
This indemnification does not apply to the extent a claim results from Smoov’s own conduct for which Smoov is legally responsible.
Smoov will provide reasonably prompt notice of a covered claim.
You may not settle a covered claim in a manner that admits wrongdoing by Smoov, imposes liability or non-monetary obligations upon Smoov, or materially restricts Smoov’s business without Smoov’s prior written consent.
25. Force Majeure
Smoov will not be liable for failure, interruption, postponement, cancellation, or modification of an Event caused by circumstances outside its reasonable control, including:
- severe weather;
- natural disaster;
- fire;
- utility failure;
- widespread telecommunications disruption;
- epidemic or public-health emergency;
- government action;
- civil unrest;
- war;
- transportation disruption;
- venue unavailability; or
- comparable circumstances outside Smoov’s reasonable control.
This Section does not eliminate a refund right expressly provided under Section 3 or applicable Event Terms.
26. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
Unless another written agreement provides otherwise, disputes arising from or relating to these Terms or an Event will be brought exclusively in the state or federal courts located in San Francisco County, California.
Each party consents to personal jurisdiction and venue in those courts.
Nothing in these Terms prevents either party from seeking temporary, preliminary, or other equitable relief in an appropriate jurisdiction where reasonably necessary to protect safety, intellectual property, confidential information, privacy, or other legal rights.
27. Changes to These Terms
Smoov may update these Terms prospectively.
The version presented when you register for, accept, or confirm attendance at an applicable Event will govern your participation unless Smoov provides notice of an updated version and obtains additional acceptance where legally required.
Smoov will not retroactively modify material payment or refund rights already earned for a particular Event solely through an update to these Terms.
28. General
These Terms, applicable Event Terms, and any separate written agreement expressly governing an Event constitute the agreement relating to your participation.
If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will remain effective.
Failure to enforce a provision is not a waiver.
Nothing in these Terms creates an employment, partnership, joint venture, fiduciary, franchise, or agency relationship between you and Smoov.
You may not assign your Event admission or rights under these Terms except where Smoov expressly permits it or applicable law requires otherwise.
Smoov may assign these Terms to an affiliate or successor in connection with a merger, acquisition, financing, corporate reorganization, or sale of substantially all relevant assets or business.
Electronic signatures and electronic acceptance have the same effect as written acceptance to the extent permitted by applicable law.
Sections that by their nature should survive an Event—including confidentiality, privacy, media permissions, intellectual property, assumption of risk and release, indemnification, limitations of liability, and dispute provisions—will survive as necessary to give them effect.
